1. Agreement to Terms

By accessing or using the services of FreeMinds Systems LLC ("FreeMinds," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

FreeMinds provides custom software development services, including but not limited to:

• Agentic AI systems development
• Software consulting and architecture design
• Custom application development
• AI integration and automation solutions

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Pay all fees in accordance with the agreed payment schedule
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose

4. Payment Terms

Payment terms are established on a per-project basis and outlined in individual service agreements. General terms include:

• Payments are processed through Paddle.com, our merchant of record
• All fees are in USD unless otherwise specified
• Late payments may incur additional fees
• Refunds are handled on a case-by-case basis as outlined in project agreements

5. Intellectual Property

Unless otherwise agreed in writing:

• You retain ownership of all content and materials you provide to us
• Upon full payment, you receive ownership of the custom work product created specifically for you
• We retain ownership of our proprietary tools, frameworks, and methodologies
• We may showcase your project in our portfolio unless you request confidentiality

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law or to perform the services.

7. Warranties and Disclaimers

We warrant that:

• Services will be performed in a professional and workmanlike manner
• We have the right to provide the services
• Our work will not infringe on third-party intellectual property rights

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEMINDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9. Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination, you are responsible for payment of all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the modified Terms.
